Terms of Service

1. Acceptance of Terms

By accessing, downloading, installing, or using WizCut (the "Extension"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Extension.

These Terms constitute a legally binding agreement between you and WizCut ("we," "us," or "our"). WizCut is operated from Austria, and these Terms are governed by Austrian law.

2. License Grant

Subject to your compliance with these Terms, WizCut grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Extension for your personal or commercial podcast editing purposes.

Per-Seat License: Each subscription license is valid for one (1) seat only, meaning one (1) computer and one (1) editor. You may not share your license credentials or install the Extension on multiple computers simultaneously under a single subscription.

WizCut retains all intellectual property rights in the Extension. You do not acquire any ownership rights in the Extension or its underlying technology.

3. Subscription and Payment

Payment Processing: All subscriptions and payments are processed by creem.io. By subscribing to WizCut, you agree to creem.io's terms of service and payment policies.

Subscription Model: WizCut operates on a subscription basis. Your subscription will automatically renew unless canceled in accordance with creem.io's policies.

No Refunds: Subscription fees are non-refundable, including for partial subscription periods. If your access is terminated for violation of these Terms, you will not receive a refund.

One Seat Per Subscription: Each subscription covers one seat (one machine, one editor). Additional seats require separate subscriptions.

4. Requirements

Adobe Premiere Pro: You must have a valid, licensed copy of Adobe Premiere Pro to use WizCut. WizCut is not affiliated with Adobe Inc. and does not provide Adobe licenses.

Third-Party Compliance: You must comply with all applicable third-party terms of service, including but not limited to pyannote.ai's Terms of Service and Privacy Policy.

5. AI Processing and Content Responsibility

Cloud Processing: Audio from your content is temporarily sent to a third-party cloud service (pyannote.ai) for speaker diarization analysis. By using WizCut, you consent to this processing.

AI Limitations: WizCut uses artificial intelligence to generate editing suggestions. These suggestions are not guaranteed to be accurate, complete, or appropriate. You are solely responsible for reviewing and approving all AI-generated edits before exporting your final content.

Content Ownership: You retain all intellectual property rights in your content. WizCut claims no ownership over your videos, audio, or other materials processed through the Extension.

Content Responsibility: You warrant that you have all necessary rights, licenses, and permissions for any content you process using WizCut, including but not limited to audio recordings, video footage, music, images, and any other materials. You are solely responsible for ensuring your content complies with all applicable laws and third-party rights.

6. Intended Use

Podcast-Only Service: WizCut is designed and intended exclusively for editing conversational video podcasts and similar interview-style content. The Extension may not function properly for other types of content.

7. Prohibited Activities

You agree that you will NOT use WizCut to process, edit, or distribute content that:

Harmful or Illegal Content:

  • Is illegal, fraudulent, or violates any local, national, or international law or regulation
  • Promotes, encourages, or depicts violence, terrorism, or violent extremism
  • Contains hate speech, harassment, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
  • Promotes self-harm, suicide, or eating disorders
  • Contains child sexual abuse material (CSAM) or exploits minors in any way
  • Infringes on intellectual property rights, including copyright, trademark, or patent rights of others
  • Contains sexually explicit or pornographic material
  • Promotes or facilitates human trafficking, slavery, or exploitation

Deceptive or Manipulative Content:

  • Contains intentional misinformation or disinformation designed to deceive
  • Impersonates any person or entity, or falsely represents affiliation with any person or entity
  • Is used to create deepfakes or manipulated media intended to deceive
  • Promotes pyramid schemes, multi-level marketing scams, or other fraudulent business practices

Privacy and Security Violations:

  • Violates privacy rights or illegally collects personal information about others
  • Is used for surveillance, monitoring, or spying on individuals without their explicit consent
  • Contains recordings made without the knowledge or consent of all parties (where legally required)
  • Is used to dox, stalk, harass, or intimidate individuals

Prohibited Technical Activities:

  • Attempts to reverse engineer, decompile, disassemble, or extract source code from the Extension
  • Attempts to circumvent any security measures or access controls in the Extension
  • Uploads or transmits viruses, malware, ransomware, or other malicious code
  • Attempts to hack into, interfere with, or disrupt WizCut's systems or third-party systems
  • Uses the Extension to probe, scan, or test vulnerabilities in any system or network
  • Redistributes, resells, sublicenses, or makes the Extension available to third parties

Restricted Use Cases:

  • Military, defense, or weapons development applications
  • Law enforcement or intelligence purposes without proper legal authorization
  • Mass surveillance or social scoring systems
  • Automated decision-making that affects legal rights or creates significant risks

Compliance with pyannote.ai Terms:

As required by our third-party service provider, you specifically agree that you shall not use WizCut for:

  • Any unlawful, fraudulent, or activities infringing on the rights or security of others
  • Violating public order or any local policy or laws
  • Hacking into computer systems or activities aimed to harm, control, interfere, or intercept computer systems, violating their integrity or security
  • Sending unsolicited emails and/or prospecting or commercial solicitation
  • Releasing information or links to third-party websites through the service
  • Assisting or inciting, in any manner or form, any of the above activities
  • Monitoring and/or spying on activities of third parties
  • Initiating or engaging in military actions
  • Any purpose other than civil usage

Enforcement: WizCut reserves the right to investigate any suspected violations of these prohibited activities. We may report illegal activities to law enforcement and cooperate with authorities in investigations.

8. Acceptable Use and Fair Use Policy

Fair Use: WizCut reserves the right to limit or throttle access for users whose usage patterns significantly exceed typical usage or negatively impact service quality for other users.

Excessive Usage: If your usage is deemed excessive (such as processing extraordinarily large volumes of audio), we may contact you to discuss your usage patterns. Continued excessive usage may result in suspension or termination of your subscription.

Notification: We will make reasonable efforts to notify you before limiting or terminating access due to excessive usage, except in cases of abuse or violation of these Terms.

9. No Availability Guarantee

As-Available Basis: WizCut is provided on an "as-available" basis. We do not guarantee that the Extension will be available at all times or operate without interruption or errors.

No Uptime Guarantee: We make no commitments regarding service uptime, availability, or performance. We are not liable for any service interruptions, delays, errors, or downtime.

Third-Party Dependencies: The Extension depends on third-party services (including pyannote.ai and creem.io) and Adobe Premiere Pro software. Service availability may be affected by these third-party systems, for which we bear no responsibility.

10. Modifications and Interruptions

Right to Modify: WizCut reserves the right to modify, update, suspend, or discontinue any aspect of the Extension at any time, with or without notice. This includes features, functionality, pricing, and these Terms.

Service Interruptions: We may experience interruptions due to hardware failures, software issues, maintenance, updates, or other problems. We are not liable for any interruptions, delays, or errors resulting from such issues.

Maintenance: We may perform scheduled or emergency maintenance that may result in service unavailability. We will attempt to provide advance notice when feasible but are not obligated to do so.

No Backward Compatibility: We have no obligation to maintain backward compatibility with previous versions of the Extension or Adobe Premiere Pro.

11. Disclaimer of Warranties

The Extension is provided "AS-IS" and "AS-AVAILABLE" without warranties of any kind, either express or implied.

To the fullest extent permitted by law, WizCut disclaims all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Extension will be error-free, secure, or uninterrupted
  • Warranties regarding the accuracy, reliability, or completeness of AI-generated results
  • Warranties of compatibility with current or future versions of Adobe Premiere Pro
  • Warranties that the Extension will meet your requirements or expectations

You acknowledge that you use the Extension at your own risk. WizCut does not warrant that the Extension will function correctly, produce accurate results, or be suitable for your purposes.

12. Limitation of Liability

To the maximum extent permitted by law, WizCut shall not be liable for any damages arising from your use of or inability to use the Extension.

This limitation includes, but is not limited to:

  • Data Loss: Lost footage, corrupted video projects, or deleted files
  • Adobe Software Issues: Problems caused by Adobe Premiere Pro or conflicts with Adobe software
  • Third-Party Failures: Service failures, data breaches, or issues caused by pyannote.ai, creem.io, or other third parties
  • AI Errors: Incorrect, inappropriate, or unexpected AI-generated edits or suggestions
  • Business Losses: Lost revenue, profits, business opportunities, contracts, or reputation
  • Indirect Damages: Consequential, incidental, punitive, or special damages
  • Production Delays: Missed deadlines, delayed releases, or project setbacks

Maximum Liability: In no event shall WizCut's total liability to you exceed the subscription fees you paid to WizCut (via creem.io) in the twelve (12) months preceding the claim.

Essential Purpose: These limitations apply even if any limited remedy fails its essential purpose.

13. Indemnification

You agree to indemnify, defend, and hold harmless WizCut, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Extension
  • Your content or materials processed through the Extension
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights
  • Your violation of any applicable laws or regulations
  • Any prohibited activities you engage in using the Extension

14. Termination

Termination by WizCut: We reserve the right to suspend or terminate your access to the Extension immediately, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Engaging in prohibited activities
  • Excessive usage that impacts service quality
  • Non-payment or payment disputes
  • At our sole discretion

No Refunds: Termination for cause (including Terms violations) will not entitle you to any refund of subscription fees.

Effect of Termination: Upon termination, your license to use the Extension immediately ends. You must cease all use and may be required to uninstall the Extension.

Survival: Sections of these Terms that by their nature should survive termination will survive, including provisions regarding ownership, disclaimers, indemnification, and limitations of liability.

15. Changes to Terms

WizCut reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or through the Extension.

Your continued use of the Extension after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Extension.

16. Governing Law and Jurisdiction

Austrian Law: These Terms are governed by and construed in accordance with the laws of Austria, without regard to its conflict of law provisions.

Jurisdiction: Any disputes arising from these Terms or your use of the Extension shall be subject to the exclusive jurisdiction of the courts of Austria.

Location: WizCut is based in Austria.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms constitute the entire agreement between you and WizCut regarding the Extension and supersede all prior agreements, understandings, and communications, whether written or oral.
